1. Acceptance of Terms

By accessing or using the It's Buzzing platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use the Services.

2. Description of the Service

It's Buzzing provides a software-as-a-service platform that includes:

3. User Accounts and Responsibilities

Users agree to:

  • Provide accurate and current information
  • Maintain account security
  • Use the Services lawfully
  • Comply with all applicable laws, including marketing, privacy, and consumer protection laws
  • Immediately notify us of unauthorized access or security issues

    • 4. Business and Ambassador Obligations

    Businesses and ambassadors are solely responsible for:

  • Obtaining all required business licenses, permits, and tax registrations
  • Representations made to customers
  • Compliance with licensing, tax, and regulatory requirements
  • Obtaining lawful consent for communications
  • Accurate reward promises and fulfillment
  • Handling disputes with customers
    • It's Buzzing is a technology provider only and assumes no liability for business operations, tax compliance, or customer disputes.

    5. Third-Party Integrations

    The Services integrate with third-party platforms including, but not limited to:

  • Google services
  • Meta/Facebook services
  • Stripe (payments)
  • Giftbit (rewards)
  • Mailchimp and other communication tools
  • Cloud hosting providers

    • Use of these integrations is subject to third-party terms. It's Buzzing is not responsible for third-party services, their availability, security, or compliance.

    6. Data and Communications Compliance

    You represent and warrant that:

  • All contact data used through the Services was obtained lawfully
  • You have obtained all required consents for communications
  • Your communications comply with CAN-SPAM, TCPA, GDPR, CASL, and similar laws
  • You will not upload prohibited, deceptive, or unlawful data
    • You indemnify It's Buzzing for violations arising from your communications.

    7. Intellectual Property

    7.1 Platform IP

    All platform software, designs, trademarks, and content are owned by It's Buzzing. You may not copy, modify, distribute, or reverse engineer any part of the platform.

    7.2 User Content

    You retain ownership of content you upload and grant us a limited, non-exclusive license to use it solely to provide the Services.

    8. Prohibited Uses

    You may not:

  • Send spam or unsolicited messages
  • Engage in fraud, phishing, or deception
  • Interfere with platform security or availability
  • Scrape, reverse engineer, or extract data without authorization
  • Violate laws or third-party rights
  • Use the platform for illegal gambling, adult content, or prohibited industries

    • 9. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • The Services are free of viruses or harmful components

    • 10. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT'S BUZZING SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Service interruptions or security breaches
  • Third-party actions or integrations
    • TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    11. Indemnification

    You agree to indemnify and hold harmless It's Buzzing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your use of the Services
  • Your communications, referrals, or campaigns
  • Violations of these Terms
  • Violations of applicable laws
  • Infringement of third-party rights

    • 12. Subscriptions, Billing, and Refunds

  • Subscriptions auto-renew unless canceled before the renewal date
  • Cancellations take effect at the end of the current billing period
  • Refunds are provided only as stated in our refund policy
  • Non-payment may result in service suspension or termination

    • 13. Termination

    We may suspend or terminate accounts immediately for:

  • Violations of these Terms
  • Non-payment
  • Fraud, abuse, or illegal activity
  • Legal risk or regulatory compliance

    • Upon termination:

  • Access ceases immediately
  • Outstanding fees become due
  • Data may be retained as described in the Privacy Policy

    • 14. Data Retention

    We retain data as described in our Privacy Policy. Upon termination, business data is retained for 30 days to allow recovery, then deleted or anonymized unless retention is required by law.

    15. Governing Law and Arbitration

    These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

    Arbitration Agreement:
  • Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA)
  • Arbitration shall take place in San Francisco, California
  • No class actions or representative proceedings
  • Small claims court exception (claims under $10,000 may be filed in small claims court)
  • Injunctive relief for intellectual property violations may be sought in court

    17. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and It's Buzzing
  • Severability: If any provision is unenforceable, the remainder remains in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms; we may assign to affiliates or successors
  • Force Majeure: We are not liable for delays caused by events beyond our control
