1. Acceptance of Terms

By accessing, registering for, or using the It's Buzzing platform, websites, mobile applications, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms") and all policies incorporated herein by reference, including our Privacy Policy, FTC Compliance Policy, Rewards Abuse Policy, and Trust & Safety Policy.

If you do not agree to these Terms in their entirety, you are not authorized to use the Services. Continued use of the Services following any update to these Terms constitutes acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you and It's Buzzing, LLC. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.

2. Description of the Services

It's Buzzing provides a multi-feature software-as-a-service platform that includes, without limitation:

It's Buzzing provides technology only. We do not provide goods, services, or professional advice to end customers or third parties on behalf of our users.

Features and capabilities may be added, modified, or discontinued at any time. Your continued use of the Services following any change constitutes acceptance.

3. User Accounts and Responsibilities

3.1 Account Registration

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your login credentials
  • Not share your account or credentials with any third party
  • Use the Services only for lawful purposes and in compliance with all applicable laws
  • Immediately notify us of any unauthorized access, security breach, or suspected compromise of your account

    • 3.2 Account Security

    You are solely responsible for all activity that occurs under your account, whether or not you authorized that activity. It's Buzzing is not liable for any loss or damage arising from your failure to protect your account credentials.

    3.3 Accurate Information

    You represent and warrant that all information you provide to It's Buzzing — including business information, contact data, and any content submitted — is accurate and does not violate any applicable law or third-party rights.

    4. Business and Ambassador Obligations

    Businesses, ambassadors, and all users of the Services are solely responsible for:

  • Obtaining and maintaining all required business licenses, permits, and tax registrations
  • All representations made to customers, referrals, or the public
  • Compliance with all applicable licensing, tax, and regulatory requirements
  • Obtaining lawful consent for all communications initiated through the platform
  • Accurately describing and fulfilling all reward promises to customers
  • Handling all disputes, refunds, and complaints with their customers directly
  • Compliance with all applicable federal, state, and local laws governing their operations
    • It's Buzzing is a technology provider only and assumes no liability for your business operations, tax compliance, customer relationships, or regulatory obligations.

    5. Third-Party Integrations and Services

    5.1 General

    The Services integrate with third-party platforms including, but not limited to:

  • Google services (Calendar, Gmail, Sheets, Maps)
  • Meta / Facebook services
  • Stripe (payment processing)
  • Giftbit (reward fulfillment)
  • Mailchimp, Brevo, and other communication tools
  • Cloud hosting and infrastructure providers
  • EasyAppointments and booking tools
  • Cloudflare (media storage and delivery)
  • YouTube, Spotify, SoundCloud, and other media platforms

    • Use of third-party integrations is subject to each provider's own terms, conditions, and privacy policies. It's Buzzing is not responsible for the availability, security, accuracy, or compliance of any third-party service. We do not warrant that any integration will remain available or continue to function as described.

    5.2 Collab Marketplace and Payment Processing

    It's Buzzing provides a platform to facilitate agreements and payments between creators and businesses. All payments are processed, held, and released by Stripe via connected accounts. It's Buzzing does not act as a seller, employer, payment intermediary, or escrow agent.

    When using the Collab Marketplace:

  • Creator-Business Relationships: Creators and businesses enter into direct agreements for collaboration services. It's Buzzing is not a party to these agreements and assumes no liability for their performance.
  • Payment Processing: All payments are processed through Stripe. Creators must connect a Stripe account to receive payouts. Stripe handles all payment processing, escrow, fund releases, and tax reporting (including 1099-K forms where required).
  • Platform Role: It's Buzzing provides the technology platform enabling discovery, project management, and payment coordination. We do not determine pricing, evaluate work quality, or guarantee deliverable acceptance.
  • Independent Contractor Status: Creators are independent contractors — not employees of It's Buzzing or of any business they collaborate with. Creators are solely responsible for their own taxes, insurance, and business licenses.
  • No Employment Relationship: Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between It's Buzzing and any user.
  • Dispute Resolution: Disputes between creators and businesses regarding deliverables, quality, or payment must be resolved between the parties. It's Buzzing may provide platform-based dispute resolution tools but is not obligated to mediate, arbitrate, or resolve any conflict.
  • Fees: Platform fees (7% of transaction value) and Stripe processing fees (approximately 3%) are deducted before payout to creators. All fees are disclosed before transaction confirmation.
  • Compliance: Users are responsible for tax compliance, business licensing, content rights, and contractual obligations. It's Buzzing does not provide legal, tax, or business advice.

    • 5.3 Media Platform Integrations (Infinity Player)

    When you use the Infinity Player or add content from third-party media platforms (YouTube, Spotify, SoundCloud, podcast RSS feeds, etc.), your use of that content remains subject to the terms and conditions of the originating platform. It's Buzzing does not host, own, or license that content. You are solely responsible for ensuring you have the right to access and use any content you add to your player. It's Buzzing is not responsible for the availability, accuracy, or continued accessibility of any third-party media content.

    6. Data and Communications Compliance

    You represent, warrant, and covenant that:

  • All contact data uploaded or used through the Services was obtained lawfully
  • You have obtained all required consents and have a lawful basis for all communications
  • Your communications comply with CAN-SPAM, TCPA, GDPR, CASL, and all other applicable laws
  • You will not upload, distribute, or use prohibited, deceptive, unlawful, or infringing data through the platform
    • You agree to indemnify and hold harmless It's Buzzing from any and all claims, damages, fines, penalties, or expenses arising from your communications or your failure to comply with applicable law.

    7. Intellectual Property

    7.1 Platform IP

    All platform software, code, designs, trademarks, trade names, brand assets, and content owned or developed by It's Buzzing are the exclusive property of It's Buzzing, LLC. You may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or create derivative works from any part of the platform without our express written consent.

    7.2 User Content

    You retain ownership of content you create, upload, or submit through the Services. By submitting content, you grant It's Buzzing a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute that content solely as necessary to provide and operate the Services.

    You represent and warrant that you own or have all necessary rights to any content you submit and that such content does not infringe any third-party intellectual property, privacy, or other rights.

    8. Prohibited Uses

    You may not use the Services to:

  • Send spam, unsolicited commercial messages, or deceptive communications
  • Engage in fraud, phishing, identity theft, or deception of any kind
  • Interfere with, disrupt, or compromise the security or availability of the platform
  • Scrape, harvest, reverse engineer, or extract data or code without authorization
  • Violate any applicable law or any third-party right
  • Use the platform for illegal gambling, adult content, weapons, or other prohibited industries
  • Manipulate, game, or artificially inflate referrals, rewards, reviews, or analytics
  • Create fake accounts, impersonate others, or misrepresent your identity or affiliation
  • Harass, threaten, or abuse other users or It's Buzzing personnel
  • Violate the intellectual property rights of It's Buzzing or any third party
  • Use automated tools, bots, or scripts to access the Services in unauthorized ways

    • Violations of this section may result in immediate suspension or termination of your account and forfeiture of any pending rewards or commissions, in addition to any legal remedies available to It's Buzzing.

    9. BuzzPins — User-Contributed Local Listings

    9.1 Nature of BuzzPins

    BuzzPins are user-generated, geo-tagged local business listings contributed by members of the It's Buzzing platform. BuzzPins are not verified, certified, or guaranteed by It's Buzzing to be complete, accurate, or continuously updated. BuzzPins do not constitute an official business directory and should not be relied upon as such.

    9.2 Eligibility to Submit

    BuzzPins may be submitted by registered ambassadors, business account holders, and authorized platform users. Unauthenticated visitors may view BuzzPins but may not create, edit, or remove them.

    9.3 Submitter Responsibilities

    By submitting a BuzzPin, you represent and warrant that:

  • The information you provide is accurate and truthful to the best of your knowledge
  • You have a good-faith basis to believe the business exists at the stated location and is operational
  • The submission does not impersonate, misrepresent, or defame any person or business
  • The submission does not violate any applicable law or third-party rights
  • You will update or request removal of any pin that becomes inaccurate

    • 9.4 Ownership, Control, and Claim Rights

  • The submitting user may manage a BuzzPin listing following submission
  • A verified business owner may claim their listing at any time and assume full editorial control
  • Upon a successful claim, the business owner becomes the responsible party for the accuracy of that listing
  • It's Buzzing retains full rights to modify, restrict, remove, or delist any BuzzPin at its sole discretion, with or without notice, for any reason

    • 9.5 No Verification or Endorsement

    It's Buzzing does not verify, endorse, or certify any BuzzPin listing. Inclusion on the platform does not constitute approval, recommendation, or endorsement of any business, product, or service. It's Buzzing makes no representations about the quality, safety, legality, or reliability of any business listed via BuzzPins.

    9.6 Accuracy and Availability Disclaimer

    It's Buzzing is not responsible for inaccurate, outdated, incomplete, misleading, or unavailable business information in BuzzPins, including but not limited to hours of operation, services offered, location, pricing, or operational status. Users rely on BuzzPin information at their own risk.

    9.7 Removal and Opt-Out

    Business owners who have not claimed their listing may request removal or modification by contacting support@itsbuzzing.com. It's Buzzing will review such requests and take action in its sole discretion. We do not guarantee removal timelines.

    9.8 Abuse and Misuse

    The following are strictly prohibited and constitute grounds for enforcement action:

  • Submitting duplicate, misleading, fabricated, or spam BuzzPins
  • Impersonating a business, owner, or other person
  • Using BuzzPins to harass, defame, or damage any person or business
  • Manipulating BuzzPin data to gain ambassador commissions, rewards, or visibility unfairly

    • Violations may result in removal of content, forfeiture of earned rewards or commissions, suspension of ambassador status, or permanent account termination. It's Buzzing reserves the right to report abusive submissions to law enforcement where appropriate.

    10. Ambassador Program and Referral Commissions

    10.1 Independent Contractor Status

    Participants in the It's Buzzing Ambassador Program ("Program") are independent users operating on their own behalf. Ambassadors are not employees, contractors, agents, joint venturers, or legal representatives of It's Buzzing. Nothing in these Terms or in the Program creates an employment or agency relationship. Ambassadors have no authority to bind It's Buzzing contractually or otherwise.

    10.2 Commission Eligibility and Trigger

    Ambassadors may earn referral commissions when a business they have referred or introduced successfully becomes a paying subscriber to an It's Buzzing business plan. Commission eligibility requires all of the following:

  • A completed, successful payment transaction on a paid It's Buzzing subscription plan by the referred business
  • Completion of any applicable holding period (currently 30 days from the first billing date, subject to change)
  • No refund, dispute, chargeback, or reversal during the holding period
  • The referred business must be a new customer not previously registered on the platform
  • The referral must be attributable to the ambassador under It's Buzzing's tracking systems
    • It's Buzzing reserves the sole and final right to determine whether a referral meets all eligibility criteria.

    10.3 Attribution and Referral Ownership

    Commission attribution is determined exclusively by It's Buzzing using internal tracking systems, which may include:

  • First submission of a business listing or BuzzPin
  • Referral links, QR codes, or tracked URLs
  • Claim or onboarding activity initiated by the ambassador
  • Direct CRM or ambassador outreach logged in the platform
    • In all cases of dispute, ambiguity, or conflicting attribution, It's Buzzing's determination is final and binding. No commission will be paid on the basis of unverified or unattributed referrals.

    10.4 Commission Rates and Incentive Structure

    Commission rates, tier structures, bonuses, and incentives are published separately in the Ambassador Agreement and on the Ambassador dashboard. These rates may be modified by It's Buzzing at any time with or without notice. Continued participation in the Program after any rate change constitutes acceptance of the revised rates.

    10.5 Payment Terms

  • Commissions are issued after the holding period has elapsed and eligibility has been verified
  • Payouts are subject to minimum payout thresholds as published on the ambassador dashboard
  • Payments are issued via Giftbit (digital gift card or cash-equivalent reward) or other payment mechanisms as It's Buzzing may designate from time to time, to the email address on the ambassador's account
  • Ambassadors are solely responsible for ensuring their account email is current and capable of receiving payments
  • It's Buzzing is not responsible for delays, failures, or errors caused by third-party payment processors
  • It's Buzzing reserves the right to withhold payment pending identity verification or fraud review

    • 10.6 Chargebacks, Refunds, and Commission Reversals

    If a referred business:

  • Cancels their subscription during or after the holding period
  • Successfully disputes or reverses a charge
  • Receives a refund on the subscription that triggered the commission
  • Is determined to be ineligible following payment

    • ...any associated commission may be reversed, withheld, or deducted from future commission earnings. If a commission has already been issued, the reversed amount will be applied as a deduction against future commissions owed.

    10.7 Ineligible and Disqualified Referrals

    The following do not qualify for commission under any circumstances:

  • Self-referrals — referring your own business, an entity you own or control, or a household member
  • Referring a business previously registered on the platform in any capacity
  • Referring a business that does not complete a paid subscription in good faith
  • Referrals generated through fraudulent, misleading, or spam activity
  • Referrals generated through manipulation of the tracking system, referral links, or attribution data
  • Referrals that violate any provision of these Terms, the Ambassador Agreement, or the Rewards Abuse Policy

    • It's Buzzing may revoke any commission, suspend ambassador status, and terminate accounts for violations of this section.

    10.8 Program Abuse and Enforcement

    Any attempt to exploit, game, manipulate, or defraud the Ambassador Program — including but not limited to artificial activity, coordinated self-referrals, fake business submissions, bot-assisted referral generation, or collusion — may result in:

  • Immediate disqualification from the Program
  • Forfeiture of all pending, earned, or previously paid commissions
  • Permanent suspension of ambassador and platform accounts
  • Legal action for damages

    • 10.9 Taxes and Reporting

  • Ambassadors are solely responsible for reporting and paying all applicable taxes on commissions earned
  • U.S.-based ambassadors who earn $600 or more in a calendar year may receive a 1099-NEC form as required by law
  • It's Buzzing is not a tax advisor. Nothing in these Terms constitutes tax advice
  • International ambassadors are responsible for compliance with their local tax laws

    • 10.10 Program Modifications and Termination

    It's Buzzing reserves the right to modify, suspend, restructure, or terminate the Ambassador Program — in whole or in part — at any time and without prior notice. Pending commissions that have met all eligibility requirements prior to program termination will be honored subject to verification.

    11. Gamification, Badges, Rewards, and Virtual Items

    11.1 Nature of Virtual Items

    Characters, badges, points, streaks, leaderboard rankings, BuzzScore ratings, and all other in-app gamification elements ("Virtual Items") are digital engagement features provided for platform participation purposes only. Virtual Items have no monetary value, are not redeemable for cash, and do not represent any form of property right.

    11.2 No Ownership of Virtual Items

    Users do not own Virtual Items and have no property, contractual, or legal rights with respect to them. All Virtual Items remain the property of It's Buzzing at all times.

    11.3 Modification and Removal

    It's Buzzing may modify, remove, reset, or reconfigure any Virtual Item, gamification system, or reward structure at any time, for any reason, without notice and without liability.

    11.4 No Guarantee of Earnings or Results

    Gamification elements are entirely separate from commission payouts and reward distributions described elsewhere in these Terms. The presence of gamification features does not represent or imply any guarantee of financial compensation, business results, customer acquisition, or revenue generation.

    Participation in any It's Buzzing feature — including BuzzPins, the Ambassador Program, gamification elements, community tools, or media tools — does not guarantee any specific business outcome, earnings, visibility, or results.

    12. Platform and Earnings Disclaimer

    It's Buzzing does not guarantee:
  • Business visibility, search ranking, or discovery
  • Customer acquisition, lead generation, or conversion
  • Revenue generation or profit
  • Referral commission earnings
  • The accuracy or completeness of any AI-generated content
  • Continuity of any third-party integration or service

    • Results will vary based on individual effort, market conditions, business quality, and many other factors outside It's Buzzing's control. Any earnings or outcomes described in marketing materials represent possibilities, not guarantees.

    13. Prohibited Uses (Comprehensive)

    In addition to Section 8, you may not use the Services to:

  • Violate the intellectual property rights of It's Buzzing or any third party
  • Upload or distribute malware, viruses, or harmful code
  • Circumvent any security, authentication, or access control mechanism
  • Engage in coordinated inauthentic behavior, astroturfing, or fake engagement
  • Use the platform in a way that could expose It's Buzzing to legal, regulatory, or reputational harm
  • Operate in any prohibited industry as defined by our payment processors and partners

    14. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IT'S BUZZING EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

    WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, error-free, or available at any particular time
  • Defects or errors will be corrected
  • The Services or the servers that make them available are free of viruses or other harmful components
  • Any information or content obtained through the Services will be accurate, complete, or reliable
  • The Services will meet your specific requirements or expectations

    15. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IT'S BUZZING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, data, goodwill, customers, or business opportunities
  • Service interruptions, data loss, or security breaches
  • Third-party actions, platform failures, or integration issues
  • Any damages arising from BuzzPins, ambassador activity, user-generated content, or AI-generated content
  • Any damages arising from your reliance on the platform for business operations
    • TOTAL CUMULATIVE LIABILITY OF IT'S BUZZING FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO IT'S BUZZING IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

    16. Indemnification

    You agree to indemnify, defend, and hold harmless It's Buzzing, LLC, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or relating to:

  • Your use of the Services
  • Your communications, campaigns, referrals, ambassador activity, or BuzzPin submissions
  • Violations of these Terms or any policy incorporated herein
  • Violations of any applicable federal, state, or local law or regulation
  • Infringement of any third-party right, including intellectual property, privacy, or contractual rights
  • Any content, data, or information you submit, upload, or transmit through the Services
  • Your business operations, tax obligations, or customer relationships

    17. Subscriptions, Billing, and Refunds

  • Subscriptions auto-renew unless canceled before the renewal date
  • Cancellations take effect at the end of the current billing period; no partial-period refunds are provided unless required by law
  • Refunds are provided only as stated in our published refund policy
  • Non-payment or failed payment may result in immediate service suspension, followed by account termination if not cured within a reasonable period
  • It's Buzzing reserves the right to modify pricing with reasonable advance notice

    18. Termination

    18.1 By It's Buzzing

    We may suspend or terminate your account immediately and without notice for:

  • Material violations of these Terms or any incorporated policy
  • Non-payment of applicable fees
  • Fraud, abuse, illegal activity, or conduct that exposes It's Buzzing to legal or regulatory risk
  • BuzzPin abuse, ambassador fraud, or reward manipulation

    • 18.2 Effects of Termination

    Upon termination of your account:

  • Your access to the Services ceases immediately
  • All outstanding fees become immediately due
  • Pending commissions that have not completed the applicable holding period are forfeited
  • Data is retained and deleted as described in the Privacy Policy and DPA

    • 18.3 Survival

    Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law survive termination of these Terms.

    19. Data Retention

    We retain data as described in our Privacy Policy and Data Processing Addendum. Upon account termination, business data is retained for 30 days to allow recovery or export, then deleted or anonymized unless retention is required by applicable law or regulation.

    20. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles.

    Arbitration Agreement

    By using the Services, you agree to resolve disputes through binding arbitration rather than in court, except as otherwise specified below.
  • Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable
  • Arbitration shall take place in Birmingham, Alabama, or via remote proceedings if mutually agreed
  • No class actions, class arbitrations, or representative proceedings are permitted
  • Small claims exception: Claims within the jurisdictional limits of small claims court may be filed in small claims court
  • Injunctive relief for violations of intellectual property rights may be sought in a court of competent jurisdiction
  • 30-Day Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@itsbuzzing.com. Opt-out does not affect your ability to use the Services.

    22. Miscellaneous

  • Entire Agreement: These Terms, together with all incorporated policies, constitute the entire agreement between you and It's Buzzing with respect to the Services and supersede all prior agreements
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force and effect
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision
  • Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. It's Buzzing may assign these Terms to any affiliate, successor, or acquirer without restriction
  • Force Majeure: It's Buzzing is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, governmental actions, infrastructure failures, or third-party service outages
  • No Third-Party Beneficiaries: These Terms do not confer any rights on third parties
  • Headings: Section headings are for convenience only and have no legal effect
